In simple language, the basic difference is this: opacity affects the whole layer (i.e. the layer along with all its attachments, like drop shadow, bevel and emboss, outer glow etc.), whereas, Fill affects just the layer and not it’s attachments, i.e. Layer Styles.
This is a fundamental concept essential for both beginners and advanced Photoshop users as this can be extremely important especially when you are creating composites. Suppose, you just want to create a drop shadow without creating any object for adding a shade to a particular element. You can create any arbitrary object of the shape required and then take the Fill Away! This can also be useful for achieving specific text effects as discussed in the video.
